MEDIA LICENSE, RELEASE & AUTHORIZATION
In consideration of the mutual undertakings, covenants and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the undersigned hereby agrees as follows:
(a) I hereby grant to 7Sound &Co, LLC and its subsidiaries, affiliates, agents, marketing firms, legal representatives, and their successors and assigns (collectively, the “Licensee”), a perpetual, non-exclusive license in and to my (my child’s) name (including any alias, company name, and/or pseudonym), photograph(s), image(s), likeness(es), video or motion picture portrayal(s), voice and vocal performance(s), whether originals or reproductions, including any modifications or distortions of the same, intentional or otherwise, now or hereafter made, resulting from the recording of, or otherwise related to, this casting call event or any future series, episode, commercial or other advertisement (the “Licensed Material), for any lawful use or purpose, including but not limited to, the advertisement, publicity, publishing, illustration, commercial art, and/or distribution of any raw or finished product containing the Licensed Material in any form of media now known or created in the future, including but not limited to, physical, virtual, social and internet media (the “Product”).
(b) I hereby waive any right to inspect or approve the Product or its use, whether that use is known to me or unknown. I waive any right to royalties or other compensation arising from or related to the use of the Licensed Material or the Product. I further release Licensee from any liabilities, known or unknown, arising out of the use of the Licensed Material or the Product.
(c) I acknowledge and agree that 7Sound &Co, LLC shall own all right, title and interest and the intellectual property rights in and to the Product, including any related video footage or other instruments of service free and clear of all encumbrances and liens of any kind. To the extent that title to intellectual property to the Product may not, by operation of law, vest in 7Sound &Co, LLC, I hereby agree to assign and, upon creation, hereby assign to 7Sound &Co, LLC without restriction, the ownership of all intellectual property rights in the Product including but not limited to all copyright interests in the Product, without the necessity of any further consideration. I agree to cooperate with and assist Licensee, or any person designated by Licensee, to obtain any patent, copyright, trademark, or other protection for the intellectual property rights in the Product in 7Sound &Co, LLC’s name (or any designee) as Licensee deems appropriate. In the event Licensee is unable for any reason to secure my signature on any lawful and necessary document required to carry out the purposes of this section, then I irrevocably appoint Licensee and its officers as my (my child’s) agent and attorney-in-fact to execute such documents in my name.
(d) I hereby agree to hold confidential all confidential and proprietary information related to the Licensed Material and the Product, including, but not limited to, its creation, content, and production, and all confidential and proprietary business and technical information obtained from Licensee or developed and/or generated by me (my child) in connection with the Licensed Material or the Product.
(e) This license and release will be governed by the laws and public policies of the State of Arizona. By executing this license and release, the undersigned hereby agrees that the exclusive venue for litigation arising in connection herewith must be in the federal or state courts located in Tucson, Arizona, and the undersigned hereby waives any objections as to venue and consents to personal jurisdiction of any such court located in Tucson, Arizona.
